James W. Hall

Director, and Chairman of the Board

James Hall is President & CEO of JAMES HALL ADVISORS INC. (“JHA”), which provides financial and management advice and guidance to venture stage companies.  Prior to founding JHA, Mr. Hall was with Journal Register Company (“JRC”) as Chairman & Chief Executive Officer where he led the Philadelphia-based company through a complete reorganization of operations and consensual capital restructuring which ended with JRC emerging from bankruptcy in August 2009.  He served as Senior Vice President & Chief Investment Officer of Working Ventures Canadian Fund Inc. from 1990 to 2002. After beginning his career as a Chartered Accountant, Mr. Hall subsequently held senior positions at Citicorp and Lloyds Bank Canada.

Mr. Hall is a director of Indigo Books & Music Inc. (TSX: IDG) where he serves as Chairman of the Compensation and Human Resources Committees and as a member of the Audit and Corporate Governance Committees. Mr. Hall is a member of the Board of ImmunoVaccine Inc. (TSX-V: IMV) where he serves as the Chairman of the Audit Committee.  Mr. Hall is a director of Adventus Intellectual Property Inc. and is a trustee of OMERS Trust and Global Credit Pref Corp.  A Chartered Accountant, Mr. Hall is a graduate of the Richard Ivey School of Business and is a Council member of Ivey’s Institute for Entrepreneurship.

 

Adam E. Adamou

Director

Adam Adamou is President and Managing Partner of Caseridge Capital Corporation, a Toronto based specialty investment firm. Mr. Adamou is an experienced investor, banker and advisor to technology companies across Canada, with a principal involvement as a venture capitalist or investment banker in funding numerous Canadian technology companies. Over the course of his career Mr. Adamou has served as a Director on a number of public and private company boards, including Secure Computing Corporation, Border Networks Inc., Softquad International Inc., Nuvo Networks Inc and Taurus Capital Markets Inc. Mr. Adamou is a Chartered Financial Analyst and holds a Bachelor of Commerce degree from the University of Toronto.

 

David Little

Director

David Little is a partner with Fraser Milner Casgrain LLP (“FMC”), one of Canada’s leading national business law firms. As the Co-Chair of FMC’s Tech Companies/Venture Capital Group, Mr. Little’s practice focuses on representing private and public technology companies and investment funds in financings, cross-border transactions, buy-outs and mergers and acquisitions. Mr. Little has served as legal counsel on a significant number of transactions involving an aggregate of over $1 billion over the course of his seventeen year career. Mr. Little has served as IDC’s principal legal counsel over the last eleven years and has provided advice on all of IDC’s financing, acquisition, governance and general corporate matters during this period.

 

Francesco Ruffolo

Director

Francesco Ruffolo is  President of Wilson Display, Canada’s leading metal store fixture manufacturer. Mr. Ruffolo served as a Senior Officer and Director of Softquad Inc. from 1993 to 1998. Mr. Ruffolo was the founding partner/investor in Lortech, an integrator of technology communications and broadcast/production equipment, from 1995 to 2001. Mr. Ruffolo is a Chartered Accountant and holds a Bachelor of Math degree from the University of Waterloo.

 

Frederick L. Godard

Director

Fred Godard is the President and CEO of International Datacasting Corporation. Previously, Mr. Godard founded QuStream Corporation and served as its Executive Chairman, Chief Executive Officer and President until February 2009. He was responsible for the overall management and strategic direction of QuStream and its subsidiaries. Mr. Godard also served as President and Chief Operating Officer of Leitch Technology Corporation. Before joining Leitch, he served as Treasurer of Unitel Communications Inc. (now AT&T Canada). He served as an Executive Director of QuStream Corporation from 2004 to April 23, 2009. Mr. Godard is a Chartered Accountant and has a Bachelor of Business Administration degree from York University, Toronto, Ontario.

 

Graham McBride

Director

Graham McBride has been the President of LarchHill Capital Inc., a consulting firm providing advice to private equity firms, since November 2010. Mr. McBride also serves on the board of directors of several private companies and is a member of the Investment Committee of the Toronto Atmospheric Fund which was established to improve air quality and reduce the climate footprint and energy costs of the City of Toronto. From January 2003 to June 2010, Mr. McBride served as the Head of the MezzGrowth Group of VenGrowth Capital Partners Inc., an investment firm specializing in venture capital and mezzanine investments, where he was a Managing General Partner. Mr. McBride has also served on the board of directors of numerous private and public companies. Mr. McBride is a Certified Management Accountant (CMA).
